1. About these terms

1.1 TicketMax AI is a ticketing platform operated by The Group Ltd., a company registered in the Cayman Islands ("we", "us", "our").

1.2 These terms apply every time you buy a ticket, register for an event, or otherwise use TicketMax AI. By completing a purchase you accept them.

1.3 Please read section 3 carefully. It sets out who you are actually contracting with, and it matters if anything goes wrong with an event.

1.4 We may update these terms. The version that applies to your purchase is the one published when you bought.

2. Definitions

2.1 Event means the event, performance or occasion for which a ticket is sold.

2.2 Organizer means the person or business promoting and delivering the Event.

2.3 Ticket means the digital ticket issued to you through TicketMax AI.

2.4 Platform means the TicketMax AI website, applications and services.

3. Who you are contracting with

3.1 We sell tickets as agent for the Organizer. When you buy a ticket, your contract to attend the Event is with the Organizer, not with us.

3.2 The Organizer is responsible for the Event itself. That includes what is advertised, the line-up, running times, venue, admission, safety, and delivering what your ticket entitles you to.

3.3 We are responsible for the ticketing service: taking your payment, issuing your ticket, and supporting you with your order.

3.4 Where an Event is promoted by us or by a business in our group, we act as both Organizer and ticketing agent. In that case both sets of responsibilities are ours.

4. Buying a ticket

4.1 Ticket availability, prices and what each ticket type includes are set by the Organizer.

4.2 Your order is complete when we confirm it and issue your ticket. Until then no contract exists.

4.3 We may decline or cancel an order where payment fails, where we suspect fraud or unauthorized card use, where a pricing or listing error is obvious, or where an order breaches these terms.

4.4 Where an Event has a purchase limit per person, we may cancel orders that exceed it.

4.5 You must be 18 or older to buy a ticket. Some Events carry their own age restrictions, which are shown on the Event listing and enforced at the door.

5. Prices, fees and payment

5.1 Prices are shown in the currency stated on the Event listing.

5.2 A platform fee of 8% applies to each ticket. Depending on how the Organizer has set up the Event, this is either included in the price shown or added at checkout. Either way, the total you pay is displayed before you confirm your order.

5.3 We accept major credit and debit cards. Bank transfer is available only where we have approved it in advance.

5.4 Your card issuer or bank may apply its own charges, including currency conversion. Those are between you and them.

5.5 Prices include any taxes we are required to collect. Taxes and duties relating to the Event itself are the responsibility of the Organizer.

6. Your ticket

6.1 Your ticket is issued digitally and sent to the email address on your order. Keep it safe and treat it like cash.

6.2 Each ticket carries a unique code that is scanned once at entry. If a ticket is duplicated, screenshotted and shared, or presented more than once, only the first valid scan is admitted.

6.3 You are responsible for the security of your ticket. We are not obliged to replace a ticket you have shared, published, or allowed to be copied.

6.4 If your ticket does not arrive, contact tickets@ticketmaxai.com and we will resend it.

7. Transfers and resale

7.1 You may give your ticket to another person. You may not sell it.

7.2 Tickets bought through TicketMax AI are not for resale. Any ticket offered for sale, advertised, auctioned or transferred for value, whether through a resale site, social media or otherwise, may be cancelled without refund and admission may be refused.

7.3 Some Events require transfers to be approved in advance. Where that applies it is shown on the Event listing. If you need to move a ticket into another name, contact us before the Event rather than at the door.

7.4 Tickets obtained from an unauthorized source may be invalid, and we cannot help you if you were sold one.

8. Refunds, cancellations and changes

8.1 Tickets are non-refundable unless these terms, the Organizer’s applicable terms, or applicable law require otherwise. If your plans change, you cannot return a ticket for a refund.

8.2 If an Event is cancelled and not rescheduled, you will be refunded the full amount you paid, including the platform fee, subject to any different treatment required by applicable law.

8.3 If an Event is rescheduled or materially changed, your ticket remains valid for the new date. If you cannot attend, you may request a refund of the face value of your ticket within 14 days of the change being announced.

8.4 Refunds are made to the original payment method and normally reach you within 14 business days after processing.

8.5 Refunds for a cancelled Event are funded by the Organizer. Where we hold sufficient funds we will process the refund; where funds have already been released to the Organizer, the Organizer remains responsible for funding the refund.

8.6 A line-up change, support-act change, weather, or a delay to the start time is not by itself a material change unless applicable law requires otherwise.

9. Getting into the Event

9.1 Admission is controlled by the Organizer and the venue, and is subject to their terms, the venue’s conditions of entry, and applicable law.

9.2 You may be refused entry or removed without refund for behavior that is unsafe, abusive or unlawful, for breaching venue rules, or for failing to meet an age or identification requirement.

9.3 Bring your ticket in a form that can be scanned. A charged phone is your responsibility.

9.4 Events may be photographed or filmed. Any use of your image or likeness remains subject to applicable law and the Organizer’s notices or conditions.

10. Your information

10.1 We collect and use your information as set out in the TicketMax AI Privacy Policy and in accordance with applicable data protection law.

10.2 We may share your name, email address and order details with the Organizer of an Event you buy a ticket for where necessary to manage entry, administer the Event and communicate with you about it. The Organizer is responsible for its own handling of that information.

10.3 Marketing from us, or from an Organizer, is sent only where permitted by applicable law and, where consent is required, where you have agreed to receive it. You may withdraw consent at any time.

11. Using the Platform

11.1 Do not use the Platform to break the law, buy tickets for resale, use automated tools or bots to acquire tickets, interfere with the Platform’s operation, or gain unauthorized access to any part of it.

11.2 We may suspend or close an account that breaches these terms and may cancel tickets bought through it where reasonably necessary to protect the Platform, buyers, Organizers or other users.

12. Our responsibility to you

12.1 We are responsible for providing the ticketing service with reasonable care and skill.

12.2 We are not responsible for the Event itself, the conduct of an Organizer or venue, or anything that happens at an Event, except where we are the Organizer or where applicable law provides otherwise.

12.3 To the fullest extent permitted by law, where we are liable to you, our total liability is limited to the total amount you paid for the tickets the claim relates to. We are not liable for indirect or consequential loss, or wasted expenditure such as travel or accommodation.

12.4 Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot lawfully be limited.

13. Complaints

13.1 If something has gone wrong with your order, email tickets@ticketmaxai.com and we will look into it.

13.2 Complaints about the Event itself should go to the Organizer, though we will help you make contact where we reasonably can.

14. Governing law

14.1 These terms are governed by the law of the Cayman Islands, and the courts of the Cayman Islands have exclusive jurisdiction, subject to any mandatory consumer rights or jurisdiction rules that applicable law does not permit the parties to exclude.
