1.1 These terms govern your use of TicketMax AI to sell tickets to your event. TicketMax AI is operated by The Group Ltd., a company registered in the Cayman Islands ("we", "us", "our").
1.2 By registering as an Organizer and listing an event, you accept these terms on behalf of yourself and any business you represent.
1.3 You confirm that you have authority to enter into these terms and to promote and deliver the events you list.
2.1 To sell through the Platform you must complete registration and provide the information we ask for, including details of your business, your event and how you intend to be paid.
2.2 We aim to review complete registrations within 24 hours, but this is an operational target rather than a guaranteed approval period.
2.3 We may decline a registration, or suspend an approved account, at our discretion, acting consistently with applicable law.
2.4 You must keep your account details accurate and tell us promptly if anything changes, particularly your payout details.
2.5 You are responsible for everything done through your account. Keep your credentials secure.
2.6 We may ask you to verify your identity, business and right to promote an event, before or after approval, and may suspend selling until verification is completed.
3.1 You are solely responsible for your event: planning it, promoting it accurately, holding the necessary permits, licences and insurance, complying with applicable law, and delivering what you have advertised.
3.2 You are responsible for the accuracy of everything on your event listing, including dates, times, venue, line-up, ticket types, inclusions, age restrictions and conditions of entry.
3.3 Your contract for the Event is with the ticket buyer. We sell as your agent.
3.4 You must hold all licences and permissions your event requires, together with public liability insurance appropriate to its size and nature, and provide evidence on request.
4.1 Our fee is 8% of the face value of each ticket sold, unless a different fee has been expressly agreed by us in writing for a specific Organizer or Event.
4.2 You choose at setup whether to absorb the fee or pass it to the buyer at checkout. Once tickets are on sale for an Event, that choice is fixed unless we approve a change.
4.3 We collect ticket revenue on your behalf, deduct our fee and any other amounts properly due to us under these terms, and pay the balance to you.
4.4 Payouts are ordinarily processed within 7 to 14 business days after your Event has taken place, subject to these terms and completion of any required verification.
4.5 We pay to the account you have given us. We are not responsible for a payment sent to incorrect details supplied by you, except to the extent caused by our own error.
4.6 We may withhold or delay a payout where we are investigating suspected fraud, where a dispute or chargeback is outstanding, where the Event has been cancelled, postponed or materially changed, or where we reasonably believe refunds or other liabilities may become due.
4.7 Where we reasonably consider it necessary to manage anticipated refunds, chargebacks, fraud exposure, card-scheme liabilities or other Event-related risk, we may retain a reasonable reserve from funds otherwise payable to you. We will release any unused reserve when the relevant risk has materially passed, subject to amounts properly due to us or buyers.
4.8 You are responsible for determining, collecting and remitting any taxes arising on your ticket sales except to the extent we are legally required to collect or remit a particular tax.
5.1 Where a refund is due to a ticket buyer in connection with your Event, you are responsible for funding it unless applicable law requires otherwise.
5.2 If we have not yet paid you, we may deduct the refund and associated amounts from your payout or reserve. If we have already paid you, you must reimburse us within 14 days of our request.
5.3 You are responsible for chargebacks raised against tickets to your Event to the extent the chargeback arises from the Event, your acts or omissions, your listing, or circumstances for which you are responsible.
5.4 To the fullest extent permitted by law, amounts recoverable from you in connection with refunds or chargebacks may include card-scheme, acquiring-bank, payment-processor and reasonable administrative costs actually incurred by us.
5.5 We may set off any amount you owe us against any amount we owe you.
6.1 Tell us immediately if your Event is cancelled, rescheduled or materially changed.
6.2 You are responsible for funding refunds due to buyers and for communicating clearly with them about the Event.
6.3 We may communicate directly with buyers about a cancellation or material change, without your prior approval, where we reasonably believe buyers need to be informed.
6.4 We do not retain our 8% platform fee on tickets refunded because an Event is cancelled, unless applicable processing or third-party costs are non-refundable and may lawfully be recovered.
7.1 You may access or export attendee information for your own Event to the extent made available through the Platform.
7.2 You may use attendee information only for legitimate Event administration, entry management, communications connected with the Event, and other purposes permitted by applicable law.
7.3 You may market to attendees only where permitted by applicable law and, where consent is required, where the attendee has agreed to receive such marketing. You must honor withdrawals promptly.
7.4 You must handle attendee information in accordance with applicable data protection law, appropriate security standards and the TicketMax AI data and privacy framework. You must not sell attendee information or disclose it to unauthorized third parties.
7.5 You must notify us without undue delay if attendee information you hold is lost, misused or accessed without authority, and cooperate with any legally required response.
7.6 Buyers of your Event’s tickets may also remain TicketMax AI customers. We may communicate with them about the Platform and other Events where permitted by applicable law.
8.1 We provide scanning tools for entry. Where offline functionality is available, offline scans synchronize when a connection is restored.
8.2 You are responsible for having suitable equipment, connectivity and trained staff at the door and for testing your setup before opening.
8.3 We do not guarantee uninterrupted operation of the Platform or scanning tools. You must maintain a reasonable contingency plan for admission.
9.1 You may not use the Platform for anything unlawful, or for an Event you do not have the right or permissions to run.
9.2 You may not list content that is misleading, infringes another person’s rights, or is obscene, hateful or otherwise unlawful or unacceptable under our platform standards.
9.3 You may not run a lottery, raffle, prize draw, competition or paid-entry chance-based promotion through the Platform without our prior written approval and evidence that it complies with applicable law.
9.4 You may not use the Platform to launder money or process payments unrelated to a genuine Event.
10.1 You warrant that the information you give us is accurate, that you hold the rights, permissions, licences and insurance your Event requires, that your listing is not misleading, and that you will comply with these terms and applicable law.
11.1 To the fullest extent permitted by law, you will indemnify and keep us indemnified against claims, losses, liabilities, damages, penalties, costs and expenses arising from or connected with your Event, listing, breach of these terms, infringement of third-party rights, misuse of attendee information, failure to comply with applicable law, or a ticket-buyer or third-party claim relating to matters for which you are responsible.
11.2 This indemnity includes reasonable legal and professional fees, regulatory costs, card-scheme or acquiring penalties, and other third-party costs reasonably incurred by us in responding to or resolving such matters, except to the extent caused by our own breach, negligence or unlawful conduct.
12.1 We may suspend or remove a listing, or suspend or close your account, where you breach these terms, where we suspect fraud or unlawful activity, where verification is incomplete, or where we reasonably believe buyers, funds or the Platform are at risk.
12.2 You may stop using the Platform at any time, but these terms continue to apply to Events already on sale and to obligations that survive, including refunds, chargebacks, reserves, amounts due and indemnities.
12.3 Where we suspend an account with tickets already sold, we will act reasonably to protect buyers who have paid and may retain funds as reasonably necessary for that purpose.
13.1 We provide the Platform with reasonable care and skill but do not guarantee uninterrupted availability, a particular level of sales, or that the Platform will be free of faults.
13.2 To the fullest extent permitted by law, our total liability to you in connection with these terms is limited to the fees you have paid us in the 12 months before the claim arose. We are not liable for loss of profit, loss of revenue, loss of anticipated savings, or indirect or consequential loss.
13.3 Nothing in these terms limits liability that cannot lawfully be limited.
14.1 We may change these terms on reasonable notice. Changes will not apply retrospectively to an Event already on sale where doing so would materially prejudice existing contractual rights, except where required by law or necessary to address fraud, security or regulatory requirements.
14.2 Nothing in these terms creates a partnership, joint venture or employment relationship between us.
14.3 You may not transfer your rights or obligations under these terms without our prior written consent.
14.4 If any provision is found unenforceable, the remaining provisions continue in effect to the fullest extent permitted by law.
14.5 A failure or delay by us to enforce a right does not waive that right.
14.6 These terms are governed by the law of the Cayman Islands, and the courts of the Cayman Islands have exclusive jurisdiction, subject to any mandatory rule that cannot lawfully be excluded.
